If a Volunteer Department were to combine with a City paid Department, would the Volunteer Department still be allowed to be a non-profit organization?

The volunteer department could still be a separate entity, just under the control of the municipality, and remain non-profit and as is IF the by-laws and articles allowed the municipality to have such control. However, if the VFD organization were to merge with the city then the VFD would have to liquidate it's assets as per the articles of incorporation prior to merging with the city. It would no longer exist.
This is definitely one for the lawyers....

We are a combination department and the volunteers started a volunteer fireman's assoication that is seprate from the fire department. they do not make or decide department policy but they do hold fund raisers and will use it for public education and have donated to the fire department to buy equipment.

The easy answer is that "you should be able to do this"... but not knowing how the corporate laws are in Texas, you will want to get an answer from an accountant or CPA who is familiar with how things are done in Texas. Sepalmer pretty much describes how my department is set up. Our "Association" has a 501c-4 Non-Profit Organization status since we both support charity, donate to the department, and also provide for an annual community festival which is used to raise funds. As I understand it, if we did not do the festival (and purchased fireworks with our proceeds), we could qualify for a fill Non-profit status as a 501c-3 entity. But those are IRS rules that are tempered by how your own state handles your incorporation status.Richard Nester
